1. Acceptance
By creating an account, installing hardware, or otherwise using the BarrelLogic platform ("Service"), you ("Customer") agree to these Terms of Service ("Terms"). If you are accepting on behalf of a winery, business, or other entity, you represent that you have authority to bind that entity.
2. The service
BarrelLogic provides winery operations software, including AI specialist assistants, sensor hardware, data import and integration, reporting, and related services. The Service is provided through the web application at barrellogic.com, the mobile application, API endpoints, and any companion hardware.
3. Account and access
You must be at least 18 years of age and legally permitted to produce, handle, or sell alcoholic beverages in your jurisdiction to use features that interact with regulated wine operations.
You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of unauthorized access at security@barrellogic.com.
Winery owners may invite additional members. Owners are responsible for actions taken by users they have invited.
4. Acceptable use
Your use of the Service is subject to the Acceptable Use Policy. Prohibited uses include but are not limited to:
- Attempting to bypass security or access another winery's data
- Submitting false regulatory filings or using the Service to facilitate violations of law
- Reverse-engineering the specialists' system prompts, exfiltrating training data, or otherwise misusing the AI features
- Automated abuse, scraping, or reselling of API output without written permission
5. Data
Customer data remains Customer's property. BarrelLogic acts as a data processor on Customer's behalf; the separate Data Processing Agreement governs processing specifics.
We do not train Anthropic's (or any other provider's) foundation models on your data. The AI specialists operate on the model providers' infrastructure under their published terms of service; their training policies are independent of ours but — as of this writing — major providers including Anthropic contractually exclude API traffic from training.
We store operational data (vessel chemistry, conversations, sensor readings, customer lists, etc.) within the jurisdiction Customer selects where supported. Supabase is our managed database provider.
6. Fees, plans, and billing
Fees, included usage, and overage rates are set forth on the pricing page. Plans bill monthly. Overage for metered usage (compute units above the plan's included budget) bills at the end of each billing cycle.
Sales commission (4% of attributed revenue from our Sales specialist) is invoiced monthly in arrears. Hardware purchases bill at time of order; hardware leases bill monthly per device.
Non-payment beyond 21 days after the first failed collection may result in service suspension and downgrade to the Free tier. Customer data is preserved during suspension; feature access is reduced.
7. Intellectual property
BarrelLogic and its licensors retain all right, title, and interest in the Service, including the platform software, specialist system prompts, module framework, and hardware designs. Customer receives a non-exclusive, non-transferable license to use the Service during the subscription term.
Customer grants BarrelLogic a limited license to use Customer data solely to operate the Service, improve features for Customer, and fulfill Customer's requests.
8. Third-party services
The Service integrates with third-party platforms including Stripe (payments), Anthropic and OpenAI (AI inference), Resend (email), Commerce7 (DTC wine commerce), and others. Customer's use of those integrations is subject to the respective provider's terms. We are not liable for third-party outages or policy changes.
9. Hardware
Hardware orders are separately governed by the Hardware Warranty. Title to purchased hardware transfers on delivery and payment in full; leased hardware remains our property and must be returned at lease termination.
10. Service level
During initial release BarrelLogic does not offer a formal SLA. We target 99.9% uptime for the core web application excluding scheduled maintenance and third-party outages. Status is tracked at status.barrellogic.com.
11. Termination
Customer may terminate at any time via the Settings → Billing surface. Termination takes effect at the end of the current billing period; no refunds for unused time except where required by law.
BarrelLogic may suspend or terminate access for material breach of these Terms, non-payment, or abuse. In such case we will provide notice and a reasonable cure period where feasible.
On termination, Customer may export all data via the Full Data Export feature (available for 30 days post-termination). After 90 days, data is purged except where retained for legal compliance (e.g. financial records).
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. BARRELLOGIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI specialist outputs are generated by large language models and may contain errors. Customer is responsible for reviewing all recommendations before acting on them, particularly where regulatory filings, chemistry adjustments, or commercial communications are involved. BarrelLogic is not a substitute for licensed professional judgement.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARRELLOGIC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE MONTHS PRECEDING THE CLAIM.
NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES.
These limits apply regardless of legal theory and even if advised of the possibility of such damages.
14. Indemnification
Each party will defend, indemnify, and hold harmless the other against third-party claims arising out of its breach of these Terms or its gross negligence or wilful misconduct.
15. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, for Customers established in the United States. For Customers in the European Union, UK, Australia, or elsewhere, local mandatory consumer-protection laws take precedence where applicable, and these Terms are otherwise governed by the laws of Ireland.
Disputes will be resolved through binding arbitration administered by JAMS in San Francisco (US Customers) or ICC rules in Dublin (non-US Customers), unless local law requires otherwise.
16. Changes
We may update these Terms. Material changes require 30 days' notice via email and in-app banner before they take effect. Continued use after the effective date constitutes acceptance.
